OFF THE PRESS

Understanding technology issues is imperative for boards of directors and lawyers in order to identify potential legal implications that can affect an organization. The American Bar Association Business Law Section has published “Director’s Technology Handbook: Tips and Strategies for Advising Corporate Directors” that provides guidance to understand and decipher critical technology matters.

The handbook is a compilation written by leading practitioners in related practice areas. Beginning with a brief recap of directors’ duties under Delaware corporation law, the handbook highlights the intersections of law and technology and features technology examples to illustrate issues that are expected to remain persistent in years to come. The context in which the matters arise in practice will evolve through the ordinary course of technology innovation.

As a quick reference tool, the chapters are short with brief background descriptions and key questions to guide the reader on approaching technology as a pervasive, persistent and evolving force. Written by practice leaders in specialty areas, this guide includes discussion on:

• The lawyer’s role in communicating with the board about technology
• Fiduciary duties of corporate directors
• Regulatory compliance and compliance risk
• Cross-border issues illustrated by laws to note when doing business with Canada
• Contracts, contract management and licensing agreements
• Understanding cloud computing
• Acquiring technology assets
• International privacy laws
• Board attention to cybersecurity issues
• Tips for lawyers to engage effectively with clients about technology

The guide is edited by Candace M. Jones, an associate general counsel and vice president at the Federal Reserve Bank of New York. She leads a team in the Legal Function’s Financial Services, Technology and Contracts division focused on technology and procurement matters.

The “Director’s Technology Handbook” costs $79.95 and can be ordered by calling 800-285-2221 or online at ShopABA.org.

A new book from the American Bar Association, “Transforming the Global Supply Chain: Cyber Warfare, Technology, and Politics,” uncovers four MaxTrends™ largely responsible for the transformations already underway –– the growing presence of cyberthreats, the revolutionary impact of 3D printing, the rapid adoption of robotics and the new ways nations everywhere are seeking to protect their domestic economies from foreign competitors. The MaxTrends™ are happening, and the risks of doing nothing about them are high. The world economy as we once knew it will never return. The challenge now is for U.S. companies to figure out how to adapt to the quickly changing landscape.

The book also takes a close look at China, which is the elephant in the room when it comes to global trade. Some companies are already beginning the process of moving their supply chains out of China to other locations in Southeast Asia, India and the Americas. Those U.S. companies that are aggressively reacting to economic and political pressures by reshoring their supply chains back to America are poised to be the most successful over the long run.

“Transforming the Global Supply Chain” provides practical advice and outlines specific strategies for CEOs, boards of directors, senior managers and anyone else directly involved in supply chain activities to adopt now in order to lessen the likelihood of future disruptions to their businesses.

Author Dennis Unkovic is an international attorney, business adviser and author. He is a partner with Pittsburgh-based Meyer, Unkovic, & Scott LLP. A new book from the American Bar Association, “Whose Choice Is It? Abortion, Medicine, and the Law, 7th Edition,” is a guide that addresses every aspect of reproductive health and abortion both in the United States and worldwide. It also addresses changing contraceptive and abortion practices, and what the future likely holds.

Some of the world’s foremost experts address abortion practices from legal, medical, political and moral perspectives and provide a historical perspective on women’s access to abortion and contraception, including Dr. Rebecca Gomperts — the world’s leading deliverer of abortion care in restrictive countries — among other pertinent perspectives.

Co-author David F. Walbert received degrees in physics from Stanford University and the University of Michigan before receiving his law degree with honors from Case Western Reserve University. In addition to representing clients in many constitutional cases, including before the U.S. Supreme Court, Walbert has taught constitutional law and constitutional litigation at Emory University School of Law, spoken frequently at legal education seminars and published articles in various legal journals. Walbert’s notable clients include past governors of Georgia, the Georgia state judiciary, the U.S. Senate and civil rights groups. His litigation practice has included cases involving medical standards and regulatory issues that overlap with the many medical issues addressed in “Whose Choice Is It?”

Co-uthor J. Douglas Butler studied at Case Western Reserve University’s joint program with the schools of medicine and law. Upon completion of his studies, he served as a medical missionary in Ecuador, where he became keenly aware of the poor reproductive medical care in Latin America. The shocking state of family planning and contraception, abortion access and what passed for medical care for newborns with physical deficiencies reinforced Butler’s views about morality and medicine. He then studied pediatric orthopedics in Portugal. After returning to the United States, Butler practiced medicine in Maryland and was inducted into the American College of Legal Medicine.

“Whose Choice Is It? Abortion, Medicine, and the Law, 7th Edition” is available as a paperback and eBook and costs $129.95. To order, visit www.shopaba.org.
