Butzel Long
BUTZEL LONG attorney and shareholder SEAN H. COOK will be a featured speaker during a panel presentation hosted by Automation Alley on March 30. The program is titled, "How Will Changes in Tax Law Affect You and Your Business?" Cook will discuss changes in federal tax laws including: tax implications for employers under the Health Care Reform Act; year-end tax act provisions applicable to businesses and their owners; and, addressing the new requirements for disclosure of uncertain tax positions.
Cook's practice includes federal and state tax planning and controversy; general corporate law which covers shareholder and owner issues, choice of entity analysis and formation and dissolution transactions; commercial law covering contract review and UCC issues; merger and acquisitions; succession planning; estate and trust planning and administration; non-profit entities, and general tax planning and consultation.
He has helped clients buy and sell their businesses from structuring the transaction and handling the due diligence through closing and post-closing transactions. In the succession planning area, he has handled generation wealth transfers through a variety of mechanisms from traditional gifting to recapitalizations and family partnerships. In addition, Cook is a CPA with more than eight years experience with a national firm and a metro Detroit firm.
Cook has published a number of legal articles. He is a member of the State Bar of Michigan Taxation Section, the American Bar Association, and the American Institute of Certified Public Accountants. He is a former adjunct professor at Walsh College, and served on the board of the Walsh College Alumni Association and as its president in 2000. He is currently a member of the Walsh College President's Advisory Council.
Cook serves on the Board of Directors of the Michigan Association of Certified Public Accountants (MACPA) (2009-2012) and is a past chair of the MACPA Federal Tax Task Force.
Cook graduated from Wayne State University Law School (1995), Walsh College (M.S., Taxation, 1989) and University of Michigan (B.A., 1987). Cook was recently named by DBusiness as a Metro Detroit Top Lawyer for Tax Law and Nonprofit/Charities Law.
Additionally, Butzel Long attorney ROBERT M. NEMZIN will be a featured speaker during the American Bar Association (ABA) Section Real Property, Trust & Estate Law 22nd Annual Spring Symposia on Thursday, April 28, in Washington, D.C. The topic for the roundtable presentation is: "Leveraging Increased Federal Gift Tax Exemptions for Gifts and Sales of Closely Held Business Interests in 2011."
Based in Butzel Long's Bloomfield Hills office, Nemzin concentrates his practice in the areas of Estate and Succession Planning, Tax and Corporate law.
Nemzin is a graduate of New York University School of Law, the University of Detroit Mercy School of Law, and the University of Michigan. Nemzin interned as a law clerk with The Findling Law Firm PLC where he had the opportunity to research, analyze and draft legal documents including trial and appellate motions, complaints, and affidavits. He served U.S. District Court Judge Bernard A. Friedman, Eastern District of Michigan, as a judicial intern where he performed a variety of duties including the legal analysis of pending cases and the preparation of memoranda to aid clerks and the judge in the disposition of pending civil and criminal matters.
Nemzin is admitted to practice in Michigan and New York. He is a member of the American Bar Association, Section of Taxation. He also is a member of the ABA Real Property, Trust & Estate Law Section and serves as the co-vice-chair of the Young Lawyers Network. Wyrick has practiced law since 1997. His commitment to helping people is apparent by his chosen areas of practice which include Civil Litigation, Criminal Defense, Family, Police Misconduct, and Probate Law. In January 2003, he was certified as a mediator by the Institute of Continuing Legal Education.
He is currently a member of the Detroit Metropolitan Bar Association, the State Bar of Michigan, the National Bar Association, and the Wolverine Bar Association.

Kelley Cawthorne
KELLEY CAWTHORNE announced recently that former Michigan State Representative MARC CORRIVEAU has joined the firm in an Of Counsel capacity. Kelley Cawthorne is a Lansing-based government relations firm co-founded by former Michigan Attorney General Frank J. Kelley and former House Republican Leader Dennis O. Cawthorne.
Corriveau served four years in the Michigan House representing western Wayne County. While in the Legislature, he chaired both the Health Policy Committee and the Ethics & Elections Committee. He also earned a reputation for working across the aisle to solve complex policy issues such as the bi-partisan effort to reform the Individual Health Insurance Market in Michigan.
